Definitions

General Definitions

In these terms and conditions, unless the context otherwise requires:

 Australian Consumer Law
 Means schedule 2 of the Competition and Consumer Act 2010 (Cth) and any equivalent state or territory legislation.
 
Consequential Loss
Means any loss, damage or costs incurred by a party or any other person that is indirect or consequential, as well as loss of revenue; loss of income; loss of business; loss of profits; loss of production; loss of or damage to goodwill or credit; loss of business reputation, future reputation or publicity; loss of use; loss of interest; losses arising from claims by third parties; loss of or damage to credit rating; loss of anticipated savings and/or loss or denial of opportunity.
 
Consumer Guarantee
Means a right or guarantee You may have under the Australian Consumer Law or other rights in relation to the supply of goods or services (such as terms implied into a contract) that cannot lawfully be excluded.
 
Contract
Means the contract for the supply of services between Us and You consisting of the Order Form and these terms and conditions.
For all monthly package services, the standard terms and conditions will serve as your contract.  By signing up to a monthly package, you agree to abide by the terms and conditions.
For all packages outside of the monthly packages available, a written contract will be prepared - specific to your service requirements and as agreed by all parties involved.  Services will only commence upon receipt of the signed contract.
 
Initial Term
Means the initial term of the Contract described on the Order Form.
 
Notice
Means a written notice given in accordance with clause 7.
 
Order Form
Means the request for Services made by You and accepted by Us.
 
Package
Means the service packages offered by Us from time to time as published by Us on the Website from time to time.
 
Price
Means:
(a) the Price for the Packages as published by Us on the Website from time to time; or
(b) if any other amount is agreed in writing between You and Us, then that amount.
 
Services
Means the services to be supplied by Us to You as described in the Order Form.
 
Term
Means the Initial Term or any subsequent Contract Term pursuant to any renewal of the Contract.
 
We, Us or Our
Means Eye Dropper Designs (ABN 12 259 593 604)
 
You or Your
Means the person or company described as the client on the Order Form or receiving the service.
Startup Fee
All website packages will incur a two month start up fee at the commencement of your package in addition to the normal monthly charge.  The start up fee is equal to the same value of your monthly website package.

Monthly Fees
All packages attract a risk-free monthly fee.  This fee is required to be paid at the beginning of each month, on the anniversary of your package commencement.  You will be automatically billed until your services are cancelled by way of written request from you to us.
Monthly fees are charged at the rate that corresponds with your selected package and are non-negotiatble.
Failure to maintain monthly fees may result in the cancellation of your services.

Exit Fee
There is no exit fee payable where you choose to terminate your services and do not wish to retain any of your sites data or information.
An exit fee will apply if you require access to your sites data at the conclusion of your service.  The exit fee is calculated at 20 times your monthly service fee.  You will only be supplied with login credentials and the site data/ information you request after the exit fee has been paid in full.
After terminating your services, your site data/ information will be stored on file for up to and no longer than one month.  After this time it will be permanently deleted from our systems.

Refunds
All fees are non-refundable.

Monthly Contract Terms
All packages operate on a month by month basis and may be cancelled at any time with no future payments required.  Written request from the website owner must be received in order for your package to be cancelled.

Failure To Pay Monthly Fees
If you fail to make a monthly fee, you will receive ONE reminder ONLY that your monthly fee is outstanding.  If payment is not made within 7 days from the date of your reminder, it will be assumed that you no longer require our services and all services will cease immediately and without warning.  Eye Dropper Designs will not be held responsible for lost data, interruptions to business, or any other issues resulting from a cease in your services.  If your services are cancelled or deleted as a result of non-payment, you may be required to pay an additional fee if you wish to resume services with us.

Package Inclusions
Please review the glossary of terms for the services you will be receiving for the full list of inclusions that correspond with your selected package.  Please note that not all services are provided in every package.  If you are unsure of which inclusions correspond to your package, please contact us for advice.

 

Logo & Graphic Design

Basic Logo Design
One iconic-type logo option will be designed for you.  You can request up to 2 changes be made.
Additional changes will incur additional fees.

Logo Design
Two iconic-type logo options will be designed for you.  You can request up to 2 changes be made to the logo of your choice.
Additional changes will incur additional fees.

Complete Logo Design & Business Branding
Two full graphical logos will be designed for you to choose between.  You can request up to 3 changes be made to the logo of your choice. An iconic-type logo can also be created to mimic your graphical logo if required.
Additional changes will incur additional fees.  
Your selected logo will be applied across all areas of your business in a 'branding' manner.

Target Audience Analysis & Customised Colour Scheme
We will work with you to determine your target audience.  Who are the people you want to find your site? Are they in a particular age range, are they a particular gender, do they work in a particular field?
We will factor all of these things in when determining the best colours and graphics to use in your site, to optimise engagement by your target audience.

Professional Website Graphics
Where required (and inline with your selected package) we will provide professional stock graphics and imaging in your site at no extra cost.  Without this feature, you will be required to supply all of your own graphics and imaging.

Business Card & Stationary Design
Using your logo and pre-determined optimal colours (based on your target audience), we will design you a business card - with your desired text / information, as well as any other business / stationary requirements you have.  This might include letterheads, promotional products, or just about anything else!
We can arrange printing of all your business card and stationary needs at an additional cost.  Please contact for a quote.

Custom Animation
We will design you a customised animation to use as a promotional tool for your business.  You will need to provide us with a 'story line', appropriate wording, and a general guide as to what you require.  Our graphic designers will then get to work to produce you an animation clip that you can have embedded in your website, upload to youtube or other video hosting sites, and use in your social media marketing.

Domain & Website Hosting

Domain Name Registration
What is a domain name?  It's www.yourname.###.  It's basically like your websites address that people type into the URL field at the top of their internet browser.  Domain name registration comes free with every website package.  *Subject to availability*
*Note - for a '.com.au' domain name, you must have a registerd ABN or ACN.

Website Hosting
Website hosting also comes included with every website package.  The type of hosting you will receive depends on the package you select.  Differences in hosting between packages includes:

- Dedicated or shared cloud-hosted server
- Web space allocated to your website (eg 150GB, 500GB or Unlimited)
- Number of email accounts (eg 2, 5 or Unlimited accounts)
- Spam & virus protection
- Premium email protection (all email accounts come with a level of spam & virus protection, higher packages come with a premium addon that would otherwise be an additional cost)
- SSL Certificate (If your site requires secure connections, this comes free with the Platinum package only, or as an additional cost for lower packages)
- A Dedicated server is available at an additional cost (or free with the Platinum package) for larger sites or sites with high traffic.

All website hosting is on a cloud-hosted network - securely accessible from anywhere in the world!

 

Website Design & Development

Website Custom Designed & Developed
We will discuss with you your requirements for your website, find out what features you require, and discuss the best method to producing an eye-catching website design that works best for you.
We will develop the website, with consultation on any major implementations.
Once the site has been developed, you will be able to test your site before signing off on final approvals.
You will be permitted to make up to 2 changes to the design of the site.  Additional change requests will incur additional fees.

Number of Pages
Each package is allocated a maximum number pages as an inclusion.  If you want extra pages but don't want to go up to the next package - that's cool!  We can do extra pages for an additional once-off charge.

 

Custom Contact Forms
Because one size doesn't fit everyone.  You might need some custom fields on your contact form - some drop down menus or other selection options.  Whatever it is - we'll include that in your package.

Content Management System
Don't pay extra for this inclusion that is simply a necessity in every site.  A content management system means that you are in control of your sites content.  We will set you up with a login to the back-end of your site, where you can go in and change the content to your hearts desire!

Image Gallery / Portfolio
What business these days doesn't have at least a few photos to show off?  Well if you do - then that's great.  We'll set you up with a gallery to show them off!

E-Commerce Integration
Put simply - an online store front.  Do you have things you want to sell?  Then you need E-Commerce.  We'll set you up with a store front that fits in with your websites design and help you to integrate your chosen payment methods.  Of course you'll have access to the stores back-end where you can add and modify your items for sale and track stock and inventory too.

Membership System Integration
Do you have clients who need to log in to access personal information, or membership benefits?  Login Portals can be created and customised for a wide range of purposes and provide an added layer of interaction and customisation within your site, giving your clients a more personal and dedicated experience.

Mailchimp Integration
Mailchimp is an amazing marketing tool that allows you to capture information from your online clients and visitors.  We can integrate various forms within your site with Mailchimp to do some pretty amazing things.  Click here to find out more about Mailchimp.

Additional Customised Features

Website Maintenance

Change Requests / Variations
As per your website package, you will be allocated a particular number of change requests per month to your website.  Once you have exhausted this number of changes, additional changes will incur additional fees.

Ongoing Technical Support

Search Engine Optimisation (SEO)

Phone Consultations
Each package includes a monthly phone consultation with your SEO Expert - to help you understand your websites SEO position and movement, as well as to update you on progress and activity on your site.

Keyword Tracking
Keywords are words or short phrases that are important to your website/ business.  Tracking keywords is important to determine where your website is likely to rank in comparison to your competitors.

Keyword Research
It is important to continuously research the keywords for your industry to ensure you stay on top of the game.

Monthly SEO Report
At the commencement of your package, we will provide you with a baseline report.  This will give you the status of your site prior to any SEO work being completed.  This is a great tool to use each month as you receive updated reports to be able to analyse and compare your websites performance.

Website Optimisation - a.k.a Onsite Optimisation
This refers to the structure and set up of the back-end of your website.  Optimising your site means that we will go through it with a fine-toothed-combe and ensure that all the necessary meta tags are in place and correct, image tags are labelled, headings are set up correctly, and other important details that Google & other search engines use to rank your website.

Link Building - a.k.a Offsite Optimisation
Having a great website, with all the neccesary elements in place is essential.  As too is the need to incorporate link building into your strategy.  This is the process of gaining links (known as backlinks) from other reputable sites - linking back to your site.  The more quality links you have in place, the more trustworthy your site will be to the various search engines.
The number of hours of link building we spend on your site will vary depending on your SEO Package.

Each package includes a monthly phone consultation with your Marketing Expert - to help you understand your business and websites position and movement, as well as to update you on progress and activity on your site, as a result of your marketing package.

Social Media Platforms
Using social media platforms to advertise your business or venture is a must in today's online world.  We use specific and in-depth targeting to broadcast your message to your target audience, using specific phrases and call-to-action tags to engage users in your website and products.
Social media marketing includes preparing articles, images and videos that will engage the interests of your target audience and executing them at specific days and times to promote customer engagement.
During your initial consultation, we will discuss with you the most beneficial platforms for your industry and how we can make them work to your advantage.

Pay Per Click
You may have heard the term PPC, or Pay Per Click advertising already.  This is a specific type of advertising whereby you only pay for a specific action resulting from your advertising.  For example - every time someone clicks on your ad, you pay a fee.  This way - you're only paying for specific actions and within a specific budget.
PPC advertising allows you to monitor very closely the success of your campaign and provide you with quite specific and detailed insights to the type of people you're attracting.
We offer PPC with all marketing packages at an additional cost.  You can choose to pay any amount for your PPC campaign - we will work directly within your budget for this type of advertising.

Eye Dropper Designs is committed to protecting the privacy of personal information of both clients and visitors to the EDD website.

Information Collected
The following list identifies information that may be collected from you as a result of you completing and submitting forms or emails to us;

  • Contact Information such as name, email address, mailing address, and phone number;
  • Billing Information such as credit card number, and billing address ;
  • Unique Identifiers such as user name, account number, and password; and
  • Demographic information such as age, education, gender, interests and post/ zip code.

Information that can be collected automatically from you may include information about your computer such as your;

  • IP address;
  • Browser type;
  • Referring/ exit pages; and
  • Operating system.

This information is used to;

  • Fulfill your order;
  • Send you an order confirmation;
  • Send you product updates or warranty information;
  • Respond to customer service requests;
  • Administer your account;

  • Send you other marketing materials/ communications – such as promotions and special offers;

The Use of Cookies

EDD do not sell your personal information to third parties, however will share your information with trusted third parties;

  • When we believe in good faith that disclosure is necessary to protect our rights, protect your safety or the safety of others, investigate fraud, or respond to a government request; and

Your information will also be shared if, in the event, EDD is involved in a merger, acquisition, or sale of all or a portion of its assets, in which case you will be notified via email and/ or a prominent notice on our Web site of any change in ownership or uses of your personal information, as well as any choices you may have regarding your personal information.

Our website includes links to other websites whose privacy practices may differ from those of EDD’s. If you submit personal information to any of those sites, your information is governed by their privacy statements. We encourage you to carefully read the privacy statement of any website you visit.

Security
EDD cannot guarantee absolute security for you, as no method of transmission over the internet, or method of electronic storage, is 100% secure.

As mentioned above in ‘Information Collected’, the information we collect from you may be used to send you newsletters and other marketing materials/ communications such as promotions and special offers.

Should you wish to unsubscribe to receiving any of these, you can do so by sending a request to contact@eyedropperdesigns.com.au, clearly stating your name and the email address to which the materials are being sent.  If appropriate, mention the type of correspondence you wish to opt out of, or advise that you wish to completely opt out of all correspondence.

If we make any material changes we will notify you by email or by means of a notice on the EDD website, prior to the change becoming effective. Application of terms

The Contract applies to all services supplied by Us to You.  The terms of the Contract may only be varied by written agreement between Us and You.

Contracts

Fees & Deposits

  • Monthly Package Fees
    Monthly package fees must be paid at the amount agreed upon sign up.  Monthly packages will attract a monthly service fee that must be paid in order for services to continue without disruption.
    An Exit Fee applies if you require access to your sites data.  The exit fee is calculated at 20 times your monthly service fee.
  • Non-Monthly Package Fees
    Services which are not based on a Monthly Package Payment, a 50% deposit of the total fee payable under our proposal is due immediately upon you instructing us to proceed with the website and/ or graphic design and development work. The remaining 50% shall become due when the work is completed to your reasonable satisfaction but subject to the terms of the “approval of work” and “rejected work” clauses. We reserve the right not to commence any work until the deposit has been paid in full.
    The 50% deposit is only refundable if we have not fulfilled our obligations to deliver the work required under the agreement. The deposit is not refundable if the development work has been started and you terminate the contract through no fault of ours.
  • Fee Changes
    Eye Dropper Designs reserves the right to increase fees and service charges at any time, without notice.

 

Supply of Materials
You must supply all materials and information required by us to complete the work in accordance with any agreed specification.  Such materials may include, but are not limited to, photographs, written copy, logos and other printed material. Where there is any delay in supplying these materials to us which leads to a delay in the completion of work, we have the right to extend any previously agreed deadlines by a reasonable amount.

Where you fail to supply materials, and that prevents the progress of the work, we have the right to invoice you for any part or parts of the work already completed.

Change Requests / Variations
We are pleased to offer you the opportunity to make revisions to the design. However, we have the right to limit the number of design proposals to a reasonable amount and may charge for additional designs if you make a change to the original design specification.  Please review your package inclusions for the number of change requests included.  If not specified, the standard number of change requests included is one change request per month.

Our website development phase is flexible and allows certain variations to the original specification. However any major deviation from the specification will be charged at the rate as specified in our schedule of fees.

Project Delays and Client Liability
Any time frames or estimates that we give are contingent upon your full co-operation and complete and final content in photography for the work pages. During development there is a certain amount of feedback required in order to progress to subsequent phases.  It is required that a single point of contact be appointed from your side and be made available on a daily basis in order to expedite the feedback process.

Approval Of Work
On completion of the work you will be notified and have the opportunity to review it. You must notify us in writing of any unsatisfactory points within 7 days of such notification. Any of the work which has not been reported in writing to us as unsatisfactory within the 7-day review period will be deemed to have been approved. Once approved, or deemed approved, work cannot subsequently be rejected and the contract will be deemed to have been completed and the 50% balance of the project price will become due.

Rejected Work
If you reject any of our work within the 7-day review period, or not approve subsequent work performed by us to remedy any points recorded as being unsatisfactory, and we, acting reasonably, consider that you have been unreasonable in any rejection of the work, we can elect to treat this contract as at an end and take measures to recover payment for the completed work.

Payment
For services which are not based on a Monthly Package Payment, upon completion of the 7-day review period, we will invoice you for the 50% balance of the project.

Warranty By You As To Ownership Of Intellectual Property Rights
You must obtain all necessary permissions and authorities in respect of the use of all copy, graphic images, registered company logos, names and trade marks, or any other material that you supply to us to include in your website or web applications.

You must indemnify us and hold us harmless from any claims or legal actions related to the content of your website.

Licensing
Once you have paid us in full for our work we grant to you a license to use the website and its related software and contents for the life of the website.

Search Engine Optimisation
We do not guarantee any specific position in search engine results for your website. Unless a Search Engine Optimisation (SEO) package is purchased, we will only perform basic search engine optimisation techniques according to current best practice.
Detailed monthly SEO reports are supplied to clients as a standard inclusion in our SEO packages.

Consequential Loss
We shall not be liable for any loss or damage which you may suffer which is in any way attributable to any delay in performance or completion of our contract, however that delay arises.

Disclaimer
To the full extent permitted by law, all terms, conditions, warranties, undertakings, inducements or representations whether express, implied, statutory or otherwise (other than the express provisions of these terms and conditions) relating in any way to the services we provide to you are excluded. Without limiting the above, to the extent permitted by law, any liability of  Eye Dropper Designs under any term, condition, warranty or representation that by law cannot be excluded is, where permitted by law, limited at our option to the replacement, re-repair or re-supply of the services or the payment of the cost of the services that we were contracted to perform.

Subcontracting
We reserve the right to subcontract any services that we have agreed to perform for you as we see fit.

Non-Disclosure
We (and any subcontractors we engage) agree that we will not at any time disclose any of your confidential information to any third party.  Please also refer to our Privacy Policy for further information.

Additional Expenses
You agree to reimburse us for any requested expenses which do not form part of our proposal including but not limited to the purchase of templates, third party software, stock photographs, fonts, domain name registration, web hosting or comparable expenses.

Backups
You are responsible for maintaining your own backups with respect to your website and we will not be liable for restoring any client data or client websites except to the extent that such data loss arises out of a negligent act or omission by us.

Ownership Of Domain Names And Web Hosting
We will supply to you account credentials for domain name registration and/or web hosting that we purchased on your behalf when you reimburse us for any expenses that we have incurred.

E-Commerce
You are responsible for complying with all relevant laws relating to e-commerce, and to the full extent permitted by law will hold harmless, protect, and defend and indemnify Eye Dropper Designs and its subcontractors from any claim, penalty, tax, tariff loss or damage arising from your or your clients’ use of Internet electronic commerce.

Other services

Term, renewal and termination
If the Services include a SEO Package, unless You give Us prior Notice, at the end of the Initial Term and each subsequent Term the Contract will automatically renew for a further Term of twelve months.
If the Services include an Adwords Package, unless You give Us prior Notice, at the end of the Initial Term and each subsequent Term the Contract will automatically renew for a further Term of three months.
You may tell Us that You do not want to renew the Contract or that You want to change Your Package by giving us Notice at any time.  Such changes will take effect as follows:

  • in the case of Notice that You do not want to renew, the Contract will terminate at the end of the then current Term; in the case of a change of Package that reduces the total amount of Services, the change will be effective upon renewal of the Contract for the next Term unless agreed otherwise between You and Us; and
  • in the case of a change of Package that increases the total amount of Services, the change will be effective upon renewal of the Contract for the next Term unless agreed otherwise between You and Us.

We may tell You that we do not want to renew Your Contract or that We want to change the Services we provide to You by giving You at least 30 days Notice.  Such changes will take effect as follows:

  • in the case of Notice that We do not want to renew, the Contract will terminate at the end of the then current Term;
  • in the case of a change of Package that reduces the total amount of Services, the change will be effective upon renewal of the Contract for the next Term; and in the case of a change of Package that increases the total amount of Services, unless set out otherwise in the Notice, the change will be effective immediately.

Price and Payment
You must pay the Price that is current at the beginning of each Term in advance at the beginning of each Term by direct debit.   You are required to enter into an agreement for this with Our nominated payment processor.
We may change our Prices and such Price change will be effective upon renewal of the Contract for the next Term.  We will provide You with at least 30 days Notice of any Price changes that affect the Services supplied under this Contract.  If You do not accept the Price changes, You may give us Notice that You do not wish to renew the Contract pursuant to clause 3.3.

Goods and Services Tax (GST)
Words or expressions used in this clause that are defined in A New Tax System (Goods and Services Tax) Act 1999 (GST Act) have the same meaning given to them in that Act.
Unless otherwise stated, any amount specified in the Contract as the consideration payable for any taxable supply includes any GST payable in respect of that supply.
Each party agrees to do all things, including providing valid tax invoices and other documentation that may be necessary or desirable to enable or assist the other party to claim any input tax credit, adjustment or refund in relation to any amount of GST paid or payable in respect of any supply made under or in connection with this Contract.
If a third party makes a taxable supply and this Contract requires a party to this Contract (the payer) to pay for, reimburse or contribute to (pay) any expense or liability incurred by the other party to that third party for that taxable supply, the amount the payer must pay will be the amount of the expense or liability plus the amount of any GST payable in respect thereof but reduced by the amount of any input tax credit to which the other party is entitled in respect of the expense or liability.
If an adjustment event arises in relation to a taxable supply made by a Supplier under this Contract, the amount paid or payable by the Recipient pursuant to clause 4.1  will be amended to reflect this and a payment will be made by the Recipient to the Supplier or vice versa as the case may be.
This clause does not merge on completion and will continue to apply after expiration or termination of this Contract.

Your obligations
You must respond in a timely manner to all reasonable requests made by Us in relation to the provision of the Services.  These include giving Us ongoing access to Your website, Your Google account and any other online accounts that are relevant to the Services.

1. If you would like to cancel your renewal please contact us in writing immediately at contact@eyedropperdesigns.com.au

2. We may give a Notice to You by email to the email address we hold on record. Unless proven otherwise emails (including any attachment) are deemed to have been delivered at the time the email is sent unless We receive a notification of delivery failure within 24 hours.

Warranty and liability
We make no warranty that search engine optimisation will generate any increase in sales, business activity, profits or any other form of improvement for Your business or any other purpose.  Although We will use due care and skill in providing search engine optimisation services, We cannot guarantee improved rankings in any particular search engine.
With the exception of Consumer Guarantees, We exclude:
any term, condition or warranty that may otherwise be implied into this Contract;
any liability for loss or damage incurred as a result of or in connection with the Our negligence; and any liability for Consequential Loss.
Our liability in respect of any breach of or failure to comply with any Consumer Guarantee is limited to (at Our option) to supplying the Services again or payment of the cost of having the Services supplied again.

Costs
If You default in performing Your obligations under the Contract and We incur expenses in enforcing our rights (for example and without limitation, expenses incurred by Us in recovering any moneys owed by You to Us), You must pay those expenses to Us on demand, including all legal costs on a full indemnity basis.

Unanticipated events
We may cancel or suspend delivery of any of the Services in the event of any delay or non-performance due directly or indirectly to wars, terrorism, strikes, lockouts, delays or defaults of manufacturers or suppliers, act of God, or any other cause beyond our reasonable control.

General
The Contract constitutes the entire agreement between Us and You for the supply of Services.
The Contract will be governed by the law of South Australia. Both We and You irrevocably and unconditionally submit to the non-exclusive jurisdiction of the courts of that state.
The invalidity or unenforceability of any provision of the Contract shall not adversely affect the validity or enforceability of the remaining provisions.
Neither Our failure nor Your failure to enforce any term of the Contract constitutes a waiver of such term. Such failure shall in no way affect the right later to enforce such term.
